Taking over an unwanted s.r.o.

A company you no longer want? We take it over.

An inactive s.r.o. costs money and time even when it does nothing. Give us its company ID or name and answer two questions. Takeover from 399 €.

Non-binding offer

Two fields are required. We look the company up in the register ourselves from its company ID or name.

Optional. Enter the company ID or the full company name.

Has it ever traded?
Does it have unpaid liabilities?

Answer truthfully, it comes out anyway. Debts do not mean no, they mean an individual assessment.

Optional. We can make the offer by phone, it tends to be faster.

Non-binding. We get back to you with an offer or with questions, you pay nothing up front. We use the data only to handle your enquiry. More in the privacy policy.

  • We take over the company by transferring the business share
  • After the changes are registered you are no longer in the company
  • You get the offer up front and it is non-binding
  • You know all fees before you accept the offer

Lawful takeover

A proper transfer of the business share to a real acquirer, with an entry in the Commercial Register. A company where this would not be possible we do not take over, and we tell you so directly.

Why a takeover

Liquidation is a process that takes months. A transfer is a contract.

Both routes end with you being rid of the company. This is the difference in how long you stay in it.

Liquidation in practice roughly a year

2 300 - 3 200 € of which 1 500 € held in escrow

6 months · legal minimum
136912

The first half is the statutory waiting period, the second the financial statements, the final report and the deletion from the register.

  • day 1Notarial deed and 1 500 € into escrow
  • day 1Registration of the liquidator, notice in the Commercial Bulletin
  • within 45 daysList of assets filed in the collection of deeds
  • month 6The liquidation cannot end sooner, the law says so
  • +6 monthsA tax audit extends the period once more
  • after deletionThe notary releases the deposit only after 30 days

Takeover by us 1 to 2 weeks

from 399 € + fees for authorisation by a lawyer and the notary

1 - 2 weeks
136912
  • day 1We find the company in the register, you get the offer up front
  • within 1 weekShare transfer agreement, signatures before a notary or authorisation by a lawyer
  • weeks 1 - 2Changes registered, you are no longer in the company
  • no escrowYou deposit nothing, no money is tied up

Both timelines are drawn to the same scale. The legal minimum for a liquidation is 6 months, in practice it takes roughly a year. The amounts are indicative, based on statutory rates and public price lists as of 6 September 2026, and a specific company may come out differently. The deposit of 1 500 € is not a fee, it is money you have tied up in escrow until the end of the liquidation. A takeover requires the documents to be certified, that is the signatures certified by a notary or the agreement authorised by a lawyer; you know this fee and the court fee for registering the changes before you accept the offer.

Liquidation has its place and for some companies it is the right route. Which one suits yours we tell you directly, even if it means you order nothing from us.

How it works

From enquiry to deletion from the register

We do most of the steps. From you we need truthful information and signatures.

  1. You send an enquiry

You type the company ID or the company name and answer two questions about its state. It takes a minute.

  2. non-binding

We assess it and make an offer

We look at the state of the company and send a specific price. If we cannot take the company over, we say so directly and give the reason.

  3. You provide the documents

The books and information about liabilities. You get the exact list from us, you do not have to search for anything yourself.

  4. We prepare the documents

The share transfer agreement and everything that belongs to the change.

  5. You sign

Signatures are certified by a notary or at a registry office. We advise where and how so that it is a single trip.

  6. The changes are registered

Once registered in the Commercial Register you are no longer in the company. Its further fate, including its closure, is our business.

Price

Three bands, a specific figure up front

The price depends on the state the company is in. Which band yours belongs to we tell you after we have looked at it. You get the specific figure before you sign anything.

Inactive s.r.o. with no debts

from 399 €

A company that does not trade or never has and has no liabilities. The most common and fastest case.

Active s.r.o. with no debts

from 699 €

A company that is still trading. Handing over the books and ending ongoing relationships are added.

More complex situation

from 999 €

Liabilities, ongoing proceedings, several shareholders. We assess it individually and tell you whether and how we can take it over.

You know all fees connected with the transfer and the registration of changes before you accept the offer. Nothing is added afterwards, and in a more complex situation you get the specific amount in the offer before you sign or pay anything.

Lawful takeover

Why we do not take over every company

The very fact that we turn some companies down is the reason you can trust us with yours.

A takeover is a proper legal act: transfer of the business share to a real acquirer, change of managing director and an entry in the Commercial Register. We take the company over as its new owner and then close it down by the proper route.

For this to work, we need truthful information from you about the state of the company. A company whose debts exceed its assets we usually cannot take over. But we tell you so directly and advise what to do with it instead.

If someone promises to take over anything without a single question, it is worth asking who the company passes to and what will happen to it. Until the transfer, you are the one responsible for it.

Questions

What people ask most often

Why get rid of an inactive company at all?
Even a company that does nothing has obligations: bookkeeping, a tax return, an electronic mailbox that has to be watched. As long as it exists and you are in it, it is your worry and your time.
Which price applies to my company?
An inactive company with no debts starts at 399 €, an active one with no debts at 699 €. Everything else, that is liabilities, proceedings or several shareholders, we assess individually from 999 €. You get the specific figure up front.
When can you not take over a company?
Usually when its debts exceed its assets or when we do not get truthful information about its state. We say so directly in the offer, with a recommendation of what to do with the company instead.
What happens to the company after the takeover?
We take it over as its new owner and managing director and handle its proper closure. From the registration of the changes in the Commercial Register, its further fate is no longer your concern.
Can I keep doing business afterwards?
Yes. Transferring the company in no way prevents you from forming a new s.r.o., being a managing director elsewhere or trading as a sole trader. If you want a fresh start, we can help with forming an s.r.o. too.
Why is liquidation so expensive?
The largest part is not the fee for the service but the mandatory deposit of 1 500 €, which the company must place in notarial escrow before the liquidator is even registered. On top of that come extra financial statements, notary and court fees and the fee for conducting the liquidation. With a transfer, none of that applies.
Do I get the deposit of 1 500 € back?
The notary releases it to whoever was last registered as liquidator. That happens 30 days after the company is deleted from the register. If you conduct the liquidation yourself, you get it back. If someone else conducts it for you, it is their fee. Either way, the money is tied up for the whole liquidation.
Why does the company cost me money even when it does not trade?
Even an inactive s.r.o. files a tax return and financial statements and pays the minimum tax, which for income up to 50 000 € is 340 € a year. As long as you keep the company, it keeps running.
What should I prepare?
Nothing for the enquiry, just know which company it is. For the takeover itself we will want the books and a truthful picture of the liabilities, we send you the exact list. Certificates of no outstanding debts we can request ourselves.

Leave that company be. To us.

Send a non-binding enquiry and find out what it would cost and whether it is possible at all with your company. You commit to nothing more.
